These terms govern the use of the Argus BI client portal and related services. Specific arrangements (scope, price, term) are set out in the separate agreement; in case of conflict, the agreement prevails.

1. Definitions

2. Applicability

These terms apply to the use of the portal and to all offers and agreements with Argus BI, unless agreed otherwise in writing. The Client's purchasing or other terms are expressly rejected.

3. Our services

Argus BI provides business-intelligence services, including Power BI dashboards, an Azure SQL data warehouse, integrations with source systems (such as Exact Online and AFAS), and the portal through which the Client can supply data. Argus BI will use reasonable care in providing the services (obligation of means).

4. Account and access

Access is via personal accounts (Microsoft Entra External ID). A Client administrator may, within the granted scope, invite users and grant or revoke rights per environment and division. The Client is responsible for proper user management and for keeping credentials confidential.

6. Acceptable use

The portal may not be used in violation of law, to infringe third-party rights, to circumvent security measures, or to extract data at scale in an automated manner. Argus BI may (temporarily) suspend access in case of misuse.

7. Intellectual property

All intellectual-property rights in the portal, dashboards, data models and underlying software belong to Argus BI or its licensors. The Client receives a non-exclusive, non-transferable right of use for the term of the agreement. The Client's Data remains the Client's property.

8. Data protection

The processing of personal data is described in our Privacy Policy. Where Argus BI processes personal data on the Client's instruction, it does so as a processor under a data-processing agreement.

9. Availability and maintenance

Argus BI aims for high availability but does not guarantee uninterrupted operation. Maintenance may cause temporary unavailability; where possible we announce planned maintenance in advance. [Any SLA commitments: include in the agreement.]

10. Liability

The services are provided under the agreement concluded with the Client. The Client is and remains responsible for the data it supplies or uploads via the portal, including its accuracy, lawfulness and content and any exposure of personal data contained in that data. For that data the Client is the data controller.

To the maximum extent permitted by law, Argus BI excludes all liability. In particular, Argus BI is not liable for indirect damage, including consequential loss, lost profit, missed savings, reputational harm or loss of data, nor for damage arising from inaccurate, incomplete or unlawful data supplied by the Client or from the use of the results. The Client indemnifies Argus BI against third-party claims relating to the data supplied or uploaded by the Client.

The exclusions in this article do not apply to damage caused by intent or deliberate recklessness on the part of Argus BI; such exclusion is not permitted under Dutch law.

11. Term and termination

The term and notice period are set out in the agreement. On termination, the right to access the portal ends. On request and within a reasonable period, Argus BI will make the Client's Data available or delete it, in line with the agreed arrangements.

12. Force majeure

In the event of force majeure, Argus BI's obligations are suspended. Force majeure includes outages at suppliers or hosting providers (such as Microsoft Azure).

13. Changes

Argus BI may amend these terms. The current version is on this page. Material changes are communicated in advance.

14. Governing law and disputes

These terms are governed by Dutch law. Disputes are submitted to the competent court in Rotterdam, the Netherlands.
